MedMic Terms and Conditions
Individual professional SaaS use in Israel the United States and Europe
Medilis Systems Ltd. | Version 2.1 | Updated 8 October 2026
Important: These Terms apply to self-service MedMic purchases by one named professional user. MedClip, video processing, Image AI functions are not included.
1 Provider definitions and scope
1.1 MedMic is supplied by Medilis Systems Ltd., Company No. 515895480, Bernstein 12, Rishon LeZion, Israel ("Medilis", "we", "us"). Support, legal notices and privacy inquiries may be sent to contact@medilis.ai.
1.2 "Professional User", "User" or "you" means an individual healthcare professional, veterinarian, sole practitioner or other person legally authorized to create, review or manage clinical documentation who purchases and uses MedMic for their own professional activities. Each self-service purchase is for one named individual user only.
1.3 "Service" means the MedMic software-as-a-service (SaaS) offering, including the supported browser extension, desktop Agent and connected cloud processing services. Medilis uses Microsoft Azure for infrastructure hosting, speech transcription and AI processing on servers in Israel and the United States. "Plan Policy" means the plan-specific policy displayed with the selected plan or at checkout. "Clinical Content" means dictated audio, clinical text, prompts, source documents, screenshots and image files submitted for OCR, text extraction or redaction, and resulting clinical outputs. "Account Data" means account, contact, billing, credit-transaction, fraud-prevention and technical-security information that excludes the clinical payload.
1.4 These Terms cover MedMic only. They do not license MedClip or video processing. MedMic does not include Image AI, automated diagnostic image interpretation, ACR processing or protocol generation. Image and screenshot functions are limited to supported OCR, text extraction, document processing and local redaction or anonymization.
1.5 These self-service Terms apply to one named individual purchasing MedMic for their own professional use. They do not authorize patient self-use, personal or household use, account sharing or a multi-user organizational deployment. An individual may use MedMic with an organization’s systems only with the permissions described in Section 3.2. That permission does not convert the individual license into an organization-wide license. Multiple licenses, central administration, custom integration or enterprise support require a separate order or agreement.
2 Acceptance and contract documents
2.1 You accept these Terms by an affirmative acceptance action presented when registering, ordering or activating the Service. You must be at least 18 and legally able to enter into a contract. Merely visiting the website does not constitute acceptance of a paid subscription.
2.2 The agreement consists of these Terms, the accepted checkout or order summary, the applicable Plan Policy and any signed addendum. A signed Data Processing Agreement ("DPA"), Business Associate Agreement ("BAA") or data-transfer instrument prevails for its specific subject matter. A specifically negotiated signed term prevails over these general Terms, but no document removes rights or duties that cannot lawfully be waived.
2.3 The MedMic Privacy Policy at https://www.medilis.ai/medmic-privacy-policy explains personal-data practices, including Microsoft Azure processing in Israel and the United States and the distinction between temporary Clinical Content processing and retained Account Data. Acceptance of these Terms is not consent to marketing, optional tracking, recurring billing, a restricted international transfer that requires separate consent, or an early-start request where the law requires a separate choice.
2.4 We may retain an electronic record of the Terms version, acceptance date and time, order details and related account audit data. You should keep the order confirmation and a copy of the version accepted. This version applies when accepted for a new purchase or lawfully introduced for an existing account under Section 15.3; its preparation date does not retroactively replace an earlier accepted version.
3 Eligibility authority and connected systems
3.1 You must be legally authorized within your profession or role to create, review or manage clinical documentation. MedMic is not intended for use by a patient or by an unqualified member of the public.
3.2 If you use MedMic with an employer’s, clinic’s, hospital’s, EMR’s, RIS’s, PACS’s or another third-party system, you represent that you have permission from the relevant organization, system owner or administrator to access, capture, process and insert content. Your acceptance does not bind that organization unless you are separately authorized to bind it.
3.3 MedMic is not an emergency service. Do not use it for emergency dispatch, time-critical monitoring or as the sole means of creating, preserving or accessing a clinical record.
4 License account security and permissions
4.1 Subject to these Terms and applicable payment and credit requirements, Medilis grants you a limited, non-exclusive, non-transferable license to use the Service for your lawful professional work during the applicable access period. Suspension or termination of that license is governed by Section 16 and applicable mandatory law.
4.2 Each license is assigned to one named User. Credentials, subscriptions and credits may not be pooled, shared, resold, transferred or used by another person. A change of named User requires Medilis’s prior written approval.
4.3 You must provide accurate account information, protect credentials, maintain supported software, use reasonable endpoint and account-security safeguards, and promptly report suspected unauthorized access. Medilis remains responsible for its own security obligations.
4.4 Installation or use may require permissions for the microphone, selected pages or fields, screen capture and communication with the desktop Agent. Access is limited to what is necessary for the disclosed functions you choose. You may manage permissions through your browser or operating system, although disabling a necessary permission may prevent the relevant function from working. MedMic permissions do not grant access rights to third-party systems. Disabling or uninstalling the software does not itself cancel recurring billing or close your account.
5 Functions and intended use
5.1 Depending on the selected plan and supported configuration, MedMic may assist with clinical dictation and transcription; AI-assisted drafting, structuring and refinement of clinical text; templates and macros; selected screen capture; OCR; text extraction and document summarization; local redaction or anonymization; MDT report generation; Chat Sessions; and insertion of reviewed text into supported EMR systems, browser fields or desktop application windows, including an active window.
5.2 MedMic does not replace an EMR, patient archive, qualified clinician or professional judgment. It is not intended for autonomous diagnosis, medical-image interpretation, prescribing, treatment selection, triage or time-critical monitoring. Do not use output as the sole basis for a clinical decision.
5.3 MedMic does not analyze radiographs, CT, MRI, ultrasound, pathology, ophthalmic, endoscopic, dermatologic or other diagnostic images to detect, classify or measure abnormalities, or to generate image-based findings, impressions, diagnoses or treatment recommendations.
6 AI transcription and OCR limitations and mandatory review
6.1 AI, transcription, OCR, extraction, summaries and generated text may be inaccurate, incomplete, fabricated, inconsistent or inappropriate. Errors may affect laterality, negation, measurements, units, dates, patient details, anatomy, terminology, calculations or numerical values. Performance varies with language, accents, noise, source quality and context.
6.2 OCR and document summaries may omit or misread printed text, handwriting, tables, punctuation, identifiers or context. Cropped screenshots, incomplete pages and poor-quality scans may exclude relevant material. You must compare output with the complete original source.
6.3 A suitably qualified professional must independently review and correct each output before signing, transmitting, saving, sharing or relying on it. You must verify the correct patient, encounter, report, field mapping and destination. Never allow unreviewed output to overwrite an authoritative record.
6.4 You remain responsible for professional judgment and the clinical records you approve. This does not release Medilis from its own contractual duties, negligence or liabilities that applicable law does not allow it to exclude. Report material errors or safety concerns without including identifiable patient content in ordinary support messages.
7 Clinical Content local anonymization no retention and no model training
7.1 For supported scanned documents, screenshots and image-file workflows used for OCR, extraction or document processing, the MedMic Agent performs local identification and removal or masking of supported patient identifiers before the resulting text or redacted processing copy intended for cloud processing is transmitted. This does not delete the original file or record held in systems you control.
7.2 Automated redaction is not a guarantee of legal anonymization or de-identification. Identifiers may remain in free text, handwriting, metadata, filenames, embedded text, faces, uncommon clinical details or combinations of attributes. You must inspect the outbound material, remove residual identifiers and stop the upload if the Agent is unavailable or the result is uncertain. Do not bypass required local redaction controls.
7.3 The local document workflow does not automatically anonymize every other route. Dictated audio, typed or pasted text, imported templates, browser fields and support attachments may contain identifiable information. Do not submit identifiable patient information through an unapproved route.
7.4 MedMic processes Clinical Content only to perform the requested operation and return the result. Processing may involve temporary transmission to and processing by Microsoft Azure services in Israel and the United States. Medilis does not retain Clinical Content after the operation is completed or terminated and does not provide a patient-content repository, report archive or clinical backup through MedMic. Necessary temporary in-flight processing is limited to the operation; cloud infrastructure hosting does not mean that clinical reports, audio or documents are stored as an archive.
7.5 Clinical Content must not be captured in persistent MedMic application logs, analytics, crash reports, support recordings or backups. Medilis is responsible for configuring its Azure services and applicable supplier arrangements consistently with the no-retention commitment, including any applicable content logging, monitoring, temporary-storage and diagnostic settings. Use of an external processing service does not remove Medilis’s obligations under these Terms.
7.6 Medilis does not use Clinical Content, including de-identified content or outputs, to train, fine-tune or improve machine-learning or AI models, and does not authorize its processing suppliers to do so. Medilis does not sell Clinical Content or use it for advertising.
7.7 Medilis may retain Account Data as necessary for account administration, credit accounting, purchases, tax and payment records, fraud prevention, security, support and legal obligations, as described in the Privacy Policy. Operation counts, timestamps, chargeable dictation duration and credit transactions may be retained without the clinical payload. Account closure does not require deletion of records that must lawfully be retained, and it does not limit applicable privacy rights.
7.8 Source files, clipboard content, browser state, operating-system temporary files and records saved in an EMR remain within the systems that hold them and are governed by their controls. Save reviewed results in your authorized record system before closing the workflow; MedMic cannot restore Clinical Content it does not retain.
8 Privacy roles DPA BAA and international processing
8.1 You determine the purpose and lawful authority for processing patient information when acting independently. If you use MedMic on behalf of an employer, clinic, hospital or other organization, that entity may be the legally responsible controller, covered entity, business associate or similar party.
8.2 You must have the rights, lawful grounds, notices, professional authority and, where required, consents necessary for capture, recording, redaction, transmission and use of the material. You must follow the policies and approvals of the legally responsible organization.
8.3 Do not send identifiable patient data to Medilis or its cloud processing services unless an approved workflow and all legally required agreements are in place. Where required, the responsible independent practitioner or organization must execute an appropriate DPA or BAA before identifiable data is processed. An individual professional license and the absence of clinical retention do not themselves remove those requirements. These Terms alone are not a completed DPA or BAA. Contact contact@medilis.ai before submitting identifiable patient data if an agreement or workflow approval is needed.
8.4 Where Medilis acts as a processor or business associate, it will process data only for authorized service purposes and documented instructions, use appropriately bound personnel and suppliers, implement appropriate safeguards, and provide legally required assistance under the applicable DPA or BAA.
8.5 Microsoft Azure provides hosting, speech transcription and AI processing for MedMic on servers in Israel and the United States. Information may be transferred to and processed in either country, including outside the User’s country of residence. These Terms do not promise EU-only, UK-only, Israel-only or US-only processing. Where applicable law restricts a transfer, the relevant processing arrangement must include a valid transfer mechanism and any required additional safeguards before that transfer occurs. Acceptance of these Terms alone is not such a mechanism. Applicable details are described in the Privacy Policy and processing documentation; information about relevant safeguards may be requested at contact@medilis.ai. Local redaction and encryption do not replace transfer requirements for data that remains personal data.
8.6 Where HIPAA applies, purchase or acceptance of these Terms does not itself create a BAA or represent that MedMic is "HIPAA certified." No-retention processing does not automatically fall outside HIPAA, and Agent redaction alone is not represented as satisfying a particular de-identification method.
9 Security incidents and support
9.1 You and Medilis must promptly report suspected compromise affecting the Service through the appropriate channel. Where Medilis acts as processor or business associate, notification and cooperation will follow applicable law and the signed DPA or BAA.
9.2 Medilis will take reasonable containment and remediation steps for incidents within its control. You must secure your devices and credentials, preserve relevant evidence and follow any applicable organization incident procedure. Do not send patient content in an ordinary support ticket; use synthetic or properly redacted examples unless an approved secure support process is agreed.
10 Ownership and permitted processing
10.1 You retain your rights in input content. As between you and Medilis, you may use returned outputs for lawful professional purposes, subject to third-party rights and mandatory clinical review. To the extent Medilis acquires transferable rights in an output, it assigns those rights to you. Medilis does not promise that AI-generated material is copyrightable, unique or free of third-party claims.
10.2 You grant Medilis a limited right to process Clinical Content solely to provide the requested operation through authorized suppliers, subject to Sections 7 through 9. This right does not permit retention after processing, model training, sale, advertising or unrelated research.
10.3 Medilis and its licensors retain all rights in the Service, software, generic templates, documentation, trademarks and underlying technology. You may use supplied templates in your own clinical work but may not resell the template library or Service.
10.4 Voluntary feedback must not include patient content or confidential third-party information. Medilis may use non-clinical feedback to improve the product.
11 Acceptable use and third party systems
11.1 You must not use the Service unlawfully; infringe privacy or intellectual-property rights; upload malicious content; bypass licensing, credit, safety or security controls; probe systems without authorization; interfere with other users; or use unauthorized extraction to develop or operate a competing service. Reverse engineering is prohibited only to the extent permitted by law; mandatory interoperability and security-research rights remain available.
11.2 You must not impersonate a clinician, create deceptive medical records, conceal material information, submit content without permission or use MedMic to make prohibited automated decisions about individuals.
11.3 EMRs, websites, browsers, operating systems and external services have their own terms and controls. You must have permission to capture or insert content. Compatibility may change when those systems change. Medilis does not promise universal compatibility or custom integration unless agreed in writing.
12 Plans orders payment taxes and renewal
12.1 The checkout summary and applicable Plan Policy identify the selected plan, price, currency, taxes, payment timing, credits, duration, renewal, cancellation and validity terms. The current self-service plans as of 8 October 2026 are summarized in Schedule 1.
12.2 Payment is processed by the designated payment provider. You authorize the charges shown at checkout. Applicable taxes may be added as required by law. Medilis does not store full payment-card details as part of the ordinary MedMic account workflow; it may retain payment status, transaction references and billing records as described in the Privacy Policy.
12.3 A monthly subscription renews and charges monthly only where recurring billing is clearly disclosed and expressly authorized. You may stop future renewals through the online cancellation method disclosed at checkout or by contacting contact@medilis.ai, subject to the timing and mandatory requirements applicable to your purchase. Uninstalling the extension or Agent does not cancel the subscription.
12.4 The annual prepaid plan provides access for 12 months from activation and does not renew automatically. Continued annual access requires a new purchase.
12.5 The 500-Credit Pack is a one-time purchase, does not require a monthly or annual subscription and does not renew automatically. The pack and its credits are valid for 12 months from activation, as stated in its Plan Policy.
12.6 Any trial duration, feature limit and credit allowance will be disclosed at sign-up. A trial will not convert into a paid or recurring plan without the disclosures and authorization required by law.
12.7 Prices and plans may change for future purchases. Medilis will not retroactively increase the price or reduce the purchased entitlement of a completed order. The accepted checkout controls the commercial details of that purchase, subject to mandatory law.
13 Credits and usage
13.1 Credits are non-transferable service-use units, not money, a deposit, stored value or a payment instrument. They have no cash-redemption value except where a refund is required by law or expressly provided by these Terms.
13.2 Unless the applicable Plan Policy clearly states otherwise, one credit is charged for each of the following:
-
One PROCESS AI or report-processing action.
-
One separately initiated AI-assisted processing and insertion action into the active window.
-
One supported OCR, text-extraction and document-summary action for a file up to 10 MB.
-
Each accumulated 60 minutes of clinical dictation.
-
One MDT report-generation action.
-
One Chat Session, as defined and displayed in MedMic before the session begins.
13.3 Separate chargeable actions consume separate credits even when they relate to the same report, document or case. Credits represent processing actions and do not equal or guarantee completed reports. Any new chargeable function must be clearly disclosed before use.
13.4 A monthly plan adds its stated credits after each successful monthly payment. An annual prepaid plan allocates its full annual credits upfront; any monthly equivalent is illustrative only. A credit pack adds its stated credits after confirmed payment and account verification. No automatic top-up occurs without separate authorization.
13.5 Credits from different purchases may appear in one aggregate balance, but each underlying allocation retains its own source, validity period and access rules. The 500-Credit Pack expires 12 months after activation. Subscription-credit carry-forward and post-expiration access are governed by the applicable Plan Policy.
13.6 If the balance is insufficient for a chargeable operation, you must obtain additional eligible credits before the operation can proceed. Purchasing additional credits does not extend a subscription or the expiry date of an earlier credit allocation unless expressly stated at checkout.
13.7 A technical failure attributable to Medilis that produces no usable output will not consume a credit, or the deducted credit will be restored. Automatic technical retries must not create duplicate charges. A new processing request initiated by you is a separate chargeable action.
13.8 Medilis will not retrospectively change the consumption value of credits already purchased. Material future changes to credit consumption will be disclosed before the affected purchase or operation and applied only as lawfully permitted.
14 Cancellation refunds and payment reversals
14.1 Cancellation of a monthly plan stops future recurring charges and ordinarily takes effect at the end of the current paid period. Cancellation is different from requesting a refund or closing the account.
14.2 The annual prepaid plan and 500-Credit Pack do not create recurring charges under their default terms. A refund request must identify the relevant order and be sent to contact@medilis.ai. Do not include patient information in the request.
14.3 For Professional Users who do not legally qualify as consumers, fees are not refundable solely because you change your mind, use fewer credits than expected or do not use the Service, unless the Plan Policy states otherwise, Medilis owes a remedy for breach, or mandatory law requires a refund.
14.4 If a refund is approved, Medilis may remove or deactivate only the credits or access covered by that refund. Unrelated purchases will not be deducted. A refund may not leave the same refunded entitlement available for further use. Purchase and usage records may be used to allocate a refund even where the interface displays a pooled balance.
14.5 If a payment is reversed, charged back, rejected or found fraudulent, Medilis may suspend the corresponding access or credits while the matter is investigated, subject to mandatory rights and without erasing unrelated valid purchases.
14.6 Mandatory consumer cancellation, withdrawal, conformity and refund rights, where they legally apply, take priority over this commercial policy.
15 Availability support and changes
15.1 Medilis will provide the Service with reasonable care and skill. Planned maintenance, internet or third-party failures, browser changes and necessary security measures may cause interruptions. Unless a separate SLA is signed, no specific uptime or support-response time is promised. Maintain independent clinical records and an alternative workflow.
15.2 Medilis may update the Service for security, legal compliance, compatibility, performance or functional improvement. Medilis will not materially reduce a paid entitlement without a lawful basis and any required notice and remedy.
15.3 Changes to these Terms apply prospectively. Material changes will be communicated in a form that can be saved, ordinarily at least 30 days in advance unless an urgent legal or security reason requires a shorter period. Where consent is legally required, continued use alone will not replace it.
15.4 Medilis will not silently change the no-retention or no-model-training commitments for an existing workflow. Material changes to processing suppliers, processing countries or data uses will be disclosed in advance as required by applicable law and any DPA or BAA. A materially different use requires a lawful basis, any necessary agreement or consent and a compatible technical configuration. This clause does not itself authorize processing outside the locations disclosed in Section 8.5.
16 Suspension termination and service closure
16.1 Medilis may proportionately restrict or suspend access for a credible security threat, unlawful use, payment fraud, repeated abuse of the Service or a material breach. Except where immediate action is necessary or notice is prohibited, Medilis will explain the reason and provide a reasonable opportunity to remedy the issue.
16.2 Either party may terminate for an uncured material breach after written notice and a reasonable cure period, ordinarily 30 days. Account closure is separate from stopping recurring billing.
16.3 Before voluntary account closure, you should use or address remaining credits in accordance with their Plan Policies. Statutory refund and data rights remain unaffected. Medilis cannot return Clinical Content it has not retained.
16.4 If Medilis permanently discontinues MedMic or terminates access for convenience, it will give reasonable advance notice where practicable and provide the remedy required by law or the accepted plan, including a fair treatment of unused paid entitlements.
16.5 Provisions intended by their nature to survive termination, including accrued payment obligations, confidentiality, intellectual property, liability, dispute and data-protection terms, continue to apply.
17 Confidentiality and warranties
17.1 Each party will protect the other’s non-public confidential information with reasonable care, use it only for the contractual purpose and disclose it only to appropriately bound persons who need it. Exceptions include information lawfully public, independently developed or lawfully received without restriction. Required legal disclosures must be limited and notified in advance where permitted.
17.2 Subject to express commitments and mandatory rights, Medilis does not warrant uninterrupted operation, perfect transcription, error-free OCR or extraction, complete anonymization, clinically complete generated text, universal compatibility or that every output will meet a particular purpose. For Professional Users who do not legally qualify as consumers, other implied warranties are excluded only to the extent lawfully permitted.
17.3 No disclaimer overrides Medilis’s duty to provide the agreed Service with reasonable care and skill, statutory conformity remedies, or the express no-retention and no-model-training commitments in these Terms.
18 Limitation of liability and Professional User indemnity
18.1 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including fraud, intentional misconduct, gross negligence where non-excludable, death or personal injury caused by negligence, mandatory product liability or protected statutory data rights. These Terms do not limit a regulator’s powers or a data subject’s rights.
18.2 For Professional Users who do not legally qualify as consumers, and subject to Section 18.1, neither party is liable for indirect or consequential loss, lost profits, lost revenue, lost business or loss of anticipated savings arising from the agreement, to the extent such exclusion is lawful.
18.3 Medilis’s total aggregate liability for all other claims arising out of or relating to the Service will not exceed the greater of (a) USD 100 or (b) the total fees paid or payable by you for MedMic during the 12 months immediately preceding the event giving rise to the claim. For breach of confidentiality or data-protection obligations, the contractual cap is twice that amount. These are maximum caps, not automatic compensation, and do not limit non-waivable liability or a different cap expressly agreed in a signed DPA or BAA.
18.4 The exclusions and caps in Sections 18.2 and 18.3 do not apply where you legally qualify as a consumer to the extent prohibited by applicable law. Mandatory remedies for foreseeable loss, digital services or failure to exercise reasonable care and skill remain available where applicable.
18.5 A Professional User who does not legally qualify as a consumer will indemnify Medilis against third-party claims only to the extent caused by that User’s knowing unlawful use of the Service or infringement arising from material supplied without permission. This does not cover claims caused by Medilis’s breach, negligence or unauthorized use. Medilis must give prompt notice and reasonable cooperation, and no settlement may impose a non-monetary obligation or admission on you without consent.
19 Regional provisions and mandatory protections
19.1 Where the GDPR, UK GDPR, Swiss data-protection law or another privacy regime applies, each party must comply with the duties applicable to its actual role, including health-data conditions, security, professional secrecy and lawful international transfers. Local health-record and confidentiality requirements may impose additional duties.
19.2 MedMic is offered solely for professional use. An individual named-user purchase or payment with a personal card does not by itself establish consumer status. If mandatory law nevertheless treats you as a consumer, those non-waivable protections apply.
19.3 Where a statutory withdrawal or cancellation right applies, it may be exercised through the clearly identified online channel or by an unequivocal statement to contact@medilis.ai within the applicable period. No paper signature or prescribed wording is required unless mandatory law expressly requires it. Any separate model form required by law may be made available electronically and is not part of these professional-use Terms.
19.4 Recurring charges require the disclosures, consent, reminders and simple cancellation mechanism required by applicable law. No clause waives a statutory complaint, warranty, withdrawal, refund or enforcement right.
19.5 Applicable United States federal and state privacy, health-data, recording, payment, automatic-renewal and consumer-protection laws remain in force. State-specific requirements may apply depending on the User and data involved.
19.6 Where Israeli law applies, the Protection of Privacy Law, 5741–1981, as amended, applicable data-security and international-transfer requirements, professional confidentiality duties and any mandatory consumer protections remain applicable. Describing the Service as professional SaaS or selecting Israeli governing law does not waive duties imposed by another applicable privacy regime.
20 Governing law and disputes
20.1 For Professional Users who do not legally qualify as consumers, these Terms are governed by Israeli law, excluding conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The competent courts of Tel Aviv-Yafo, Israel have exclusive jurisdiction unless a signed order states otherwise. Mandatory laws that apply irrespective of this choice remain applicable.
20.2 If you legally qualify as a consumer, this choice does not deprive you of mandatory protections of your habitual residence or access to a competent local court, regulator or alternative dispute process.
20.3 These Terms do not impose mandatory arbitration, a class-action waiver or a waiver of data-protection complaints. Contact Medilis first where practical to seek an efficient resolution, without delaying urgent relief or statutory deadlines.
21 General terms
21.1 If a provision is unenforceable, it applies only to the lawful extent and the remaining agreement continues where legally possible. An unfair consumer term will not be rewritten to defeat mandatory consumer protection.
21.2 No failure to enforce a right is a waiver. You may not assign or transfer a named-user license without approval. Medilis may assign the agreement in connection with a merger, reorganization or business transfer if the assignee assumes the applicable obligations and required notice or consent rules are followed.
21.3 Events beyond reasonable control may excuse affected performance only to the extent permitted by law and while reasonable mitigation continues. They do not excuse refunds already due, data safeguards within a party’s control or non-waivable duties.
21.4 These Terms, the accepted order, the applicable Plan Policy and any signed addendum constitute the entire agreement for the covered subject matter. They do not create a partnership, agency, employment or fiduciary relationship.
21.5 The English version controls to the extent permitted by law. A translation may be provided for convenience, but mandatory local-language rights and disclosure requirements remain applicable.
